Terms of Use

Welcome to the Oncore Cloud Services website (the "Site"), accessible at https://www.oncore.cloud.  These Terms of Use ("Terms") form a legally binding agreement between you (whether personally or on behalf of an entity) and Oncore Cloud Services Inc. ("we," "us," or "our").

These Terms govern your access to and use of the Site, including any related media forms, channels, mobile websites, or applications (collectively, the "Site").  By accessing the Site, you confirm that you have read, understood, and agree to be bound by these Terms.

IF YOU DO NOT AGREE, YOU MUST NOT USE THE SITE AND SHOULD STOP IMMEDIATELY

We may post supplemental terms, conditions, or documents on the Site from time to time, which are incorporated by reference.  We reserve the right to update or modify these Terms at any time, in our sole discretion.  Changes will be indicated by updating the "Last updated" date, and you waive any right to specific notice of such changes.  It is your responsibility to review the Terms periodically.  Your continued use of the Site after any revisions means you accept and agree to them.  The Site is not intended for distribution or use in jurisdictions where it would violate laws or require us to register.  If you access the Site from such locations, you do so at your own risk and are responsible for compliance with local laws.  The Site is not designed to comply with industry-specific regulations like HIPAA or FISMA.  If your use would involve such regulations, you may not use the Site.  You must not use the Site in violation of laws like the Gramm-Leach-Bliley Act (GLBA).  These Terms may be superseded by customer-specific Master Service Agreements and related appendices.

  1. Intellectual Property Rights   Unless otherwise stated, the Site and all its source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics (collectively, "Content"), as well as trademarks, service marks, and logos ("Marks"), are owned or controlled by us or licensed to us.  They are protected by Canadian, U.S., and international copyright, trademark, and other intellectual property laws.  The Content and Marks are provided "AS IS" for your informational and personal use only.  Except as expressly allowed in these Terms, you may not copy, reproduce, aggregate, republish, upload, post, display, encode, translate, transmit, distribute, sell, license, or exploit any part of the Site, Content, or Marks for commercial purposes without our prior written permission.  If eligible, you are granted a limited, revocable license to access the Site and download or print Content you've properly accessed for personal, non-commercial use only.  We reserve all rights not expressly granted.
  2. User Representations   By using the Site, you represent and warrant that:
    1. You have the legal capacity to agree to these Terms;
    2. You are not a minor in your jurisdiction;
    3. You will not access the Site via automated or non-human means (e.g., bots or scripts);
    4. You will not use the Site for illegal or unauthorized purposes; and
    5. Your use will not violate any applicable laws or regulations.  If you provide untrue, inaccurate, outdated, or incomplete information, we may suspend or terminate your access and refuse future use.
  3. Prohibited Activities   You may only use the Site for its intended purposes.  It may not be used for commercial activities unless we specifically endorse or approve them.  As a user, you agree not to:
    1. Systematically retrieve data to create collections, databases, or directories without our written permission;
    2. Trick, defraud, or mislead us or others, especially to obtain sensitive information;
    3. Circumvent, disable, or interfere with security features;
    4. Disparage, tarnish, or harm us or the Site;
    5. Use information from the Site to harass, abuse, or harm others;
    6. Misuse support services or submit false reports;
    7. Use the Site inconsistently with laws or regulations;
    8. Engage in unauthorized framing or linking;
    9. Upload or transmit viruses, Trojans, or disruptive material, including spam;
    10. Use automated systems like scripts, data mining, or robots;
    11. Remove copyright or proprietary notices;
    12. Impersonate others or use another's username;
    13. Upload passive or active information-collection mechanisms (e.g., spyware); - Interfere with, disrupt, or burden the Site or connected networks;
    14. Harass, intimidate, or threaten our employees or agents;
    15. Bypass access restrictions;
    16. Copy or adapt the Site's software (e.g., HTML, JavaScript);
    17. Decipher, decompile, disassemble, or reverse engineer software, except as permitted by law;
    18. Use or distribute automated systems to access the Site, except via standard search engines or browsers;
    19. Use buying or purchasing agents on the Site;
    20. Make unauthorized use, including collecting user data for unsolicited emails or creating fake accounts; or
    21. Use the Site to compete with us or for revenue-generating purposes.
  4. User-Generated Contributions  The Site may allow you to create, submit, post, display, transmit, or broadcast content and materials ("Contributions"), such as text, videos, photos, comments, or suggestions.  Contributions may be visible to others and treated per our Privacy Policy.  When submitting Contributions, you represent and warrant that:
    1. They do not infringe third-party rights (e.g., copyright, patent, trademark);
    2. You own or have necessary licenses, consents, and permissions;
    3. You have consents for any identifiable individuals;
    4. They are not false, misleading, or unsolicited advertising;
    5. They are not obscene, harassing, libelous, or objectionable;
    6. They do not ridicule, disparage, or abuse;
    7. They do not harass, threaten, or promote violence;
    8. They comply with all laws and regulations;
    9. They do not violate privacy or publicity rights;
    10. They do not involve child exploitation;
    11. They are not discriminatory; and
    12. They do not violate these Terms or laws. Violations may result in termination of your Site access.
  5. Contribution License   We may access, store, process, and use your information and data per our Privacy Policy and your settings.  By providing suggestions or feedback, you allow us to use and share it without compensation.  You retain ownership of your Contributions and associated rights.  We claim no ownership but are not liable for them.  You are solely responsible and agree to hold us harmless from any issues arising from your Contributions.
  6. Submissions   Any questions, comments, suggestions, ideas, or feedback ("Submissions") you provide about the Site are non-confidential and become our property.  We own exclusive rights to use and disseminate them for any lawful purpose without acknowledgment or compensation.  You waive moral rights and warrant that Submissions are original or you have the right to submit them.  You agree to no recourse for any alleged infringement.
  7. Site Management   We reserve the right (but not the obligation) to:
    1. Monitor the Site for violations;
    2. Take legal action against violators, including reporting to authorities;
    3. Refuse, restrict, or disable Contributions;
    4. Remove burdensome files; and
    5. Manage the Site to protect our rights and ensure proper functioning.
  8. Term and Termination   These Terms remain in effect while you use the Site.  We may deny access, terminate use, or delete content at any time, without notice or liability, for any reason, including breaches.  If terminated, you may not create new accounts under any name.  We may pursue legal remedies.
  9. Modifications and Interruptions  We may change, modify, or remove Site content at any time without notice or obligation to update.  We may also modify or discontinue the Site.  We do not guarantee constant availability. Interruptions may occur due to issues or maintenance.  We are not liable for any resulting loss or inconvenience. Nothing obligates us to maintain, support, or provide updates for the Site.
  10. Corrections  The Site may contain errors, inaccuracies, or omissions. We reserve the right to correct them and update information without notice.
  11. Disclaimer   THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." YOU USE IT AT YOUR OWN RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO REPRESENTATIONS ABOUT ACCURACY OR COMPLETENESS AND ASSUME NO LIABILITY FOR ERRORS, INJURIES, UNAUTHORIZED ACCESS, INTERRUPTIONS, VIRUSES, OR LOSSES FROM USE. WE DO NOT ENDORSE THIRD-PARTY PRODUCTS OR SERVICES AND ARE NOT RESPONSIBLE FOR TRANSACTIONS WITH THEM. USE JUDGMENT AND CAUTION.
  12. Limitations of Liability   IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DAMAGES, INCLUDING INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.
  13. Indemnification   You agree to defend, indemnify, and hold us harmless (including subsidiaries, affiliates, officers, agents, partners, and employees) from any losses, damages, liabilities, claims, or demands (including attorneys' fees) arising from:
    1. your use of the Site;
    2. breach of these Terms;
    3. breach of your representations;
    4. violation of third-party rights; or
    5. harmful acts toward other users. We may assume defense at your expense, and you must cooperate.  We will notify you of such claims.
  14. User Data   We maintain data you transmit for Site management and performance. You are responsible for your data, including backups. We have no liability for loss or corruption, and you waive any claims.
  15. Electronic Communications, Transactions, and Signatures   Visiting the Site, emailing us, or completing forms constitutes electronic communication.  You consent to electronic communications, which satisfy legal requirements for writing.  YOU AGREE TO ELECTRONIC SIGNATURES, CONTRACTS, AND DELIVERY OF NOTICES.  You waive requirements for original signatures or non-electronic records.
  16. Miscellaneous   These Terms, along with posted policies, form the entire agreement. Our failure to exercise or enforce provisions is not a waiver.  These Terms operate to the fullest extent allowed by law.  We may assign rights and obligations.  We are not liable for events beyond our control. Invalid provisions are severable.  No joint venture, partnership, employment, or agency exists.  These Terms are not construed against us as drafters. You waive defenses based on electronic form or lack of signatures.
